BAILEY BROWN, Senior Circuit Judge. Plaintiff Parameter Driven Software, Inc. ("Parameter" or "the Insured") sued its insurer, Massachusetts Bay Insurance Co. ("Massachusetts Bay" or "the Insurer") for breach of a contractual obligation to provide it with legal representation in two lawsuits in which Parameter was a defendant. In this diversity case governed by Michigan law, the district court awarded summary judgment to Massachusetts Bay. We AFFIRM.
